Terms of Service

What you agree to when you use athna, what you can expect from us, and what happens if either of us stops.

These are the terms between you and Athna, Inc. ("athna", "we") for the website at athna.ai and the product at app.athna.ai. Signing up for early access, creating an account, or using the product means you agree to them. If you're signing up on behalf of a company or a brand, you're agreeing for it, and "you" means both of you.

The short version

  • Your content is yours. We get only the permission we need to run the workspace and to publish what you tell us to publish.
  • You must be 18 or older, follow the rules of the accounts you connect, and follow the Acceptable use policy.
  • Paid plans renew until you cancel, and come with a 14-day money-back guarantee on the first payment (Refunds).
  • We can't promise Instagram, YouTube or TikTok will always accept a post. When they don't, we'll tell you plainly and let you try again.
  • Either of us can end this. You can export your data on the way out.

1. Your account

Who can have one. You must be at least 18 years old. If the law where you live sets a higher age for agreeing to terms like these, that age applies. One person, one account; you can be in as many brand workspaces as you like.

Keeping it yours. You're responsible for what happens under your login. Use a strong password, turn on two-factor authentication when we offer it, and tell us at security@athna.ai right away if you think someone else has your access.

Early access. While the product is in early access, features change, break and disappear without notice. That's the deal. We'll tell you about the big changes.

2. Brand workspaces, members and editors

A brand workspace belongs to the creator who made it. The creator controls billing, settings, and everyone else's access.

If you add members or editors, you pick their scopes: what they can see and do. You're responsible for who you add and what you let them do; they agree to these terms when they join. If you remove someone, they lose access at once and their contributions stay in the workspace.

If you're a member or an editor in someone else's workspace, that creator decides what you see. Work you do in their workspace belongs to them unless the two of you agreed otherwise.

3. Your content

You own it. Every post, script, note, idea, message, file and cut in your workspace is yours. Nothing here transfers ownership to us.

What you let us do with it. You give us a license to store it, back it up, show it to the people you've added to the workspace, run athna AI over it for you, and publish it to the accounts you connect, only when you tell us to. This license exists so the product can work; it ends when you delete the content or your account, except for backups, which follow the Data deletion schedule.

Training. We don't train AI models on your content, and we don't let our providers do it either, unless you opt in. The details are in the AI terms.

What you promise about it. You have the rights to what you upload and publish; it doesn't break the law or someone else's rights; and it follows the Acceptable use policy. If a rights holder or a court says otherwise, we may take content down, and we'll tell you when we do.

4. Connected accounts

When you connect Instagram, TikTok, YouTube, LinkedIn, X, Threads, a newsletter, or your footage on Google Drive, Dropbox or Frame.io, you're authorizing athna to act for you within the permissions that service showed you. You can disconnect any of them at any time.

You're responsible for following each service's own terms, community guidelines and rate limits. If you break their rules through athna and they suspend your account, that's between you and them.

Publishing. When you schedule a post, we'll send it at that time. If the service refuses it (a dropped connection, an expired login, a rule on their side), the post doesn't go out, we mark it plainly, and you can fix it and try again. We don't promise any post will publish, reach anyone, or perform.

"Published" is your word. Your dashboards count a post as published when you mark it published. That's the number we build around.

5. Plans and billing

Free and paid. There is a free plan and there are paid plans. What each includes is on the pricing page, which reads live from our billing system and is the version that counts.

Paying. Paid plans bill monthly or yearly through our payment processor, in advance, and renew automatically until you cancel. Extra seats bill for the rest of the current period when you add them. AI credits reset every month; if you use more, overage packs bill as you buy them.

Cancelling. Cancel anytime from Settings → Billing. You keep access until the end of the period you've paid for. We don't refund the rest of a period, except under the Refund policy.

Price changes. If we change a price, we'll email you at least 30 days before it applies to you. If you don't want it, cancel before then.

Taxes. Prices don't include tax. Where we have to collect it, it's added at checkout.

Founding creators. If you were promised a founding-creator discount, it's applied to your plan for as long as you keep that plan without a gap.

6. Affiliates

The affiliate program has its own terms, which you agree to when you join it. Where those and these conflict about the program, those win.

7. athna AI

athna AI is part of the product. What it does with your content, who provides the models, and what you're responsible for when you publish something it helped make are in the AI terms. Those terms are part of these.

8. Ending things

You can delete your account and your brand workspaces at any time. Data deletion says how, and what happens.

We can suspend or close an account that breaks these terms or the Acceptable use policy, doesn't pay, or puts other users or the service at risk. Unless the situation is urgent or the law stops us, we'll tell you why and give you a chance to fix it first. If we close a workspace for a reason that isn't your fault, we'll refund the unused part of what you've paid.

Either way, you get 30 days to export your data, unless the law or a serious abuse of the service requires us to act faster.

9. What we don't promise

athna is provided as it is. We work hard on it; we don't guarantee it'll be free of bugs, always available, or right for what you're trying to do. We don't guarantee anything about the accounts you connect: their availability, their rules, or how they treat your posts.

To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

10. Limits on liability

To the extent the law allows: we're not liable for indirect, incidental, special, consequential or punitive damages, lost profits, lost data, or lost audience; and our total liability to you for anything connected to these terms or the service is capped at the greater of what you've paid us in the twelve months before the claim and one hundred US dollars.

Some places don't allow these limits, so some of them may not apply to you.

11. Your responsibility to us

If someone brings a claim against us because of content you published, an account you connected, or something you did that breaks these terms, you'll cover the costs, including reasonable legal fees. We'll tell you about the claim promptly and let you run the defense, as long as you don't settle in a way that admits fault on our behalf without asking us.

12. Our stuff

The athna name, the owl, the wordmark, the product and its code are ours. These terms don't give you any of it beyond using the product. Feedback you send us (ideas, suggestions) we can use without owing you anything, though we'll try to say thanks.

13. Changes to these terms

When we change these terms in a way that matters, we'll email account holders at least 14 days before the change takes effect, and update the date at the top. Using athna after that date means you accept the new terms. If you don't, cancel before then and we'll refund anything unused.

14. The legal bits

Governing law. These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Disputes go to the state or federal courts located in Delaware, and both of us agree to that.

The whole agreement. These terms, plus the policies they link to, are the whole agreement between you and us about athna. If a court finds part of them unenforceable, the rest still stands. If we don't enforce something once, we can still enforce it later.

Assignment. You can't transfer your account or these terms to someone else without asking us. We can transfer them to a successor in a merger or a sale, and we'll tell you if we do.
